China Southern Airlines has received final approval from the China Securities Regulatory Commission to move ahead with a major share issuance plan worth up to $2.2 billion. The approval, dated September 3, 2026, is valid for 12 months, giving the airline a clear timeframe within which to complete the transaction.
Under this approval, China Southern Airlines is authorized to issue up to 5.4 billion new A shares to no more than 35 investors. This group includes its controlling shareholder, China Southern Air Holding, which is participating in the capital raise alongside other selected investors. The total funds to be raised through this issuance are capped at up to 15 billion yuan, which is equivalent to approximately $2.2 billion.
According to the approval, China Southern Airlines plans to use the proceeds from this share issuance for two main purposes: financing the acquisition of 46 aircraft and supplementing the company's working capital. This reflects the airline's continued focus on expanding and modernizing its fleet while also strengthening its financial position to support ongoing operations.
This capital raise comes at a time when Chinese carriers are steadily rebuilding capacity and pushing into new international routes, making fleet renewal a key priority across the industry. By bringing in 46 additional aircraft, China Southern aims to boost both domestic and long-haul capabilities, while the working capital component gives it more flexibility to manage fuel costs, financing obligations, and day-to-day operational expenses. Analysts note that such large-scale share placements, backed directly by the controlling shareholder, also signal continued state support for the airline's expansion ambitions.
With this final regulatory clearance now secured, China Southern Airlines can proceed with the next steps of the issuance process, including the pricing and allotment of shares to the approved investors, all within the 12-month window granted by the regulatory approval. This move marks an important step in the airline's broader fleet expansion strategy as it continues to grow its capacity and operational capabilities.
