Mahindra sets up new aerospace company to strengthen aircraft manufacturing push

Mahindra & Mahindra has incorporated a new aerospace company under its defence business, creating a dedicated entity for aircraft manufacturing and aerospace products as the group expands its presence in the sector.

In a regulatory filing to stock exchanges on 30 July, the company said Novavayu Aerospace Limited (NAL) was incorporated on 29 July as a wholly owned subsidiary of Mahindra Defence Systems (MDSL). The Ministry of Corporate Affairs issued the certificate of incorporation on 30 July, making NAL a step-down subsidiary of Mahindra & Mahindra.

Dedicated entity for aerospace operations

According to the company's regulatory filing, Novavayu Aerospace will operate in the defence industry and undertake the manufacture of aircraft, aerospace products and related services and activities.

The incorporation creates a separate corporate vehicle dedicated to aerospace manufacturing within Mahindra's defence business, although the company has not disclosed operational timelines or specific programmes for the new entity.

Ownership structure and capital details

The filing outlined the ownership and capital structure of the newly incorporated company.

Key details include:

• Novavayu Aerospace Limited was incorporated on 29 July 2026.
• The Ministry of Corporate Affairs issued the certificate of incorporation on 30 July 2026.
• The company has an authorised share capital of Rs 1 crore, comprising 10 lakh equity shares with a face value of Rs 10 each.
• Mahindra Defence Systems, along with its nominee, subscribed to 1 lakh equity shares worth Rs 10 lakh.
• The subscription makes Novavayu Aerospace a wholly owned subsidiary of Mahindra Defence Systems.

Where the new company fits within the group

The new subsidiary becomes part of Mahindra's existing defence business structure.

According to the filing:

• Mahindra Defence Systems is a wholly owned subsidiary of Mahindra Advanced Technologies Limited (MATL).
• Mahindra Advanced Technologies Limited is wholly owned by Mahindra & Mahindra.
• As a result, Novavayu Aerospace becomes a step-down subsidiary of Mahindra & Mahindra.

The structure places the aerospace business within Mahindra's established defence technology portfolio.

It also stated that no governmental or regulatory approvals were required for the incorporation.

While the company has established the legal entity, it has not announced when operations will begin or which aircraft or aerospace programmes Novavayu Aerospace will pursue.

Expansion of Mahindra's defence portfolio

The incorporation comes as Mahindra continues to expand its defence business, which spans armoured mobility, naval systems, surveillance solutions and aerospace.

The addition of Novavayu Aerospace provides the group with a dedicated platform for aircraft and aerospace manufacturing. However, the company has yet to outline the scale of investment, production plans or strategic priorities for the new subsidiary.
